Terms of Services
Our Services
Bryeno Inc is a full-service digital agency offering web development, app development, UI/UX design, SEO, Meta Ads management, graphic design, and a range of supporting digital marketing services. We work with startups, small businesses, e-commerce brands, and enterprises across the United States to build, design, and grow their online presence.
Every project at Bryeno begins with a signed Project Agreement or Statement of Work that outlines the specific scope, deliverables, timeline, and pricing. These Terms of Service form the foundation of our client relationships, while your individual project agreement governs the specifics of your engagement with us.
Client Responsibilities
A successful project is always a two-way effort. To ensure your project is delivered on time and to the standard you expect, you agree to provide accurate and complete information at the start of the project, respond to feedback requests and approvals within the timeframes outlined in your agreement, and ensure that any content, images, brand assets, or third-party materials you supply are either owned by you or properly licensed for use.
You also agree to designate a primary point of contact on your end to keep communication clear and efficient. If feedback, approvals, or required materials are delayed on your side, it may impact the project timeline. Bryeno Inc is not responsible for missed deadlines resulting from client-side delays, incomplete information, or last-minute scope changes.
Payments
All payment terms are specified in your project agreement. As a general policy, most projects require a deposit before work begins, with the remaining balance due prior to final delivery or website launch. For larger projects, payments may be structured around defined milestones to keep things transparent and manageable.
If an invoice becomes overdue, we reserve the right to pause active work on your project until the outstanding balance is cleared. Deposits paid to initiate a project are non-refundable once work has commenced, as they cover time, planning, and resources allocated specifically to your project. Refund eligibility for partially completed work is reviewed on a case-by-case basis. All pricing and invoices are in US dollars unless otherwise agreed in writing.
Ownership
We believe you should own what you pay for — fully and without condition. Upon receipt of your final payment, Bryeno Inc transfers complete ownership of all custom deliverables produced for your project. This includes website files, design assets, source code, and any other original work created specifically for you.
Please note that third-party assets integrated into your project — such as premium plugins, licensed fonts, stock photography, or platform-specific themes — remain subject to their respective third-party licenses and are not included in this ownership transfer. Bryeno’s internal development frameworks, proprietary processes, and pre-existing tools used during production are also excluded. Additionally, Bryeno Inc retains the right to display your completed project in our portfolio and use it in our marketing materials unless you formally request otherwise in writing.
Revisions & Scope Changes
Every project includes an agreed number of revision rounds, clearly outlined in your project agreement. We build this into our process to make sure you’re happy with the final result. However, revision requests that fall outside the original scope, require significant rework, or exceed the included rounds will be quoted separately and require your written approval before we proceed.
Any additions to the original project scope — whether that’s new pages, additional features, platform changes, or expanded deliverables — are treated as scope changes. We’ll always communicate this clearly and provide a revised timeline and cost estimate before taking on additional work. Scope changes are never processed silently or billed without your knowledge.
Limitation of Liability
Bryeno Inc delivers every project with professional care, skilled execution, and a genuine commitment to your success. However, our total liability for any claim arising from our services is limited to the amount you paid for the specific project or service in question.
We are not liable for indirect, incidental, or consequential damages, including loss of revenue, lost business opportunities, or data loss. We are also not responsible for issues caused by third-party platforms, hosting providers, or tools that are outside our direct control. While we apply best practices across all services, we do not guarantee specific business outcomes — such as search engine rankings, conversion rates, or revenue growth — unless explicitly committed to in a separate performance-based agreement.
Termination
Either party may terminate a project engagement by providing written notice. If a project is terminated, you remain responsible for payment of all work completed up to the date of termination. Deliverables for completed milestones will be handed over upon receipt of any outstanding balance. The initial deposit is non-refundable in all termination scenarios, regardless of how early in the project the termination occurs.
Bryeno Inc reserves the right to immediately terminate an engagement if a client engages in abusive or threatening behavior, requests work that is illegal or unethical, or repeatedly fails to make payment after reasonable notice has been given.
Governing Law
These Terms of Service are governed by the laws of the United States. In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If a resolution cannot be reached through direct communication, disputes will be escalated through binding arbitration or appropriate legal proceedings as mutually agreed.
Updates to These Terms
We may revise these Terms of Service from time to time to reflect updates in our services, business practices, or legal requirements. When changes are made, the updated Terms will be posted on this page with a revised effective date. Your continued use of our website or services after any update constitutes your acceptance of the new Terms.
